Terms and conditions

This translation is provided for your information. Only the German version is legally binding.

1. Scope and provider

1.1 These general terms and conditions (terms) apply to all contracts for the use of PrompterPal between you and

giant Computer Systems, owner Marc Breuer
Am Altengraben 23
90768 Fürth
Germany
Phone: +49 (0) 911 976912-0
E-mail: [email protected]

(hereinafter "we" or "us").

1.2 We provide our services exclusively on the basis of these terms. Deviating or supplementary conditions do not become part of the contract unless we have expressly agreed to their application in text form.

1.3 A consumer is any natural person who concludes the contract for purposes that are predominantly outside their trade, business or self-employed profession (§ 13 BGB). A business is anyone who acts in the exercise of their trade, business or self-employed profession (§ 14 BGB). Provisions that apply to only one of the two groups are marked as such.

2. Definitions

  • Account: the customer. An account has projects, a project has texts. The contracting party is whoever creates the account or books the paid plan for the account.
  • Members: people you invite to your account with their own login and a role (view, edit, administer).
  • Texts: your scripts together with their saved versions, chapters, comments and settings.
  • Share link: an address through which people without their own account can access a project, for example as a remote control, for playback or for review.
  • Prompter: the display of your texts in front of the camera, controlled on the device itself or from a second device acting as a remote control.

3. Account and conclusion of the contract

3.1 Registration is free of charge. There is no entitlement to registration. Your details must be accurate; you keep changes, in particular to your e-mail address, up to date in your account. You must be at least 16 years old.

3.2 Registration creates a contract for free access (Free). It does not create any payment obligation.

3.3 A contract for the paid plan (Pal) is concluded when you select the plan and a payment method in your account and submit the order bindingly using the button labelled accordingly. In doing so, you state whether you are ordering as a consumer or as a business and accept these terms. As a consumer, you also expressly request that we start before the withdrawal period ends, because the paid plan is unlocked immediately. Before that, you can check and correct your entries at any time or cancel the process.

3.4 We confirm the conclusion of the contract to you by e-mail. These terms and the information on the right of withdrawal, in the version that applies to your contract, are attached to it as PDF files; please keep them. We do not store the contract text separately beyond that. You can find your invoices in your account at any time.

3.5 The contract language is German. Translations of these terms are provided for your information; the German version is authoritative.

3.6 You keep your login details safe and do not pass them on. If there are indications of misuse, you inform us without delay.

4. Our services

4.1 PrompterPal is a teleprompter in the browser. You create projects and scripts, run them in front of the camera and control them from the same device or from a second one. Which functions and which limits (for example the number of projects, texts, versions and members) belong to which plan is set out on the pricing page in the version valid at the time of your order. This description forms part of the contract.

4.2 PrompterPal does not itself provide any artificial intelligence. Clause 10 applies to the AI connection.

4.3 We owe the provision of the service in the form described, not any particular result of your recordings. The prompter runs in common current browsers. We do not guarantee that any particular hardware (remote control, foot pedal, gamepad) or any particular combination of device, operating system and browser will work, even if we mention it. Test your setup before an important shoot.

4.4 Some functions depend on your browser, for example voice follow, in which your browser's speech recognition follows what is spoken. Whether and how well these functions work is determined by the browser.

4.5 We strive for operation that is as uninterrupted as possible, but do not owe any particular availability. Excluded in particular are periods of planned maintenance, which we announce where possible and schedule for times of low usage, and disruptions beyond our control (for example outages of network operators, data centres or service providers used, force majeure). A prompter that has been loaded once continues to run without a network connection.

4.6 We continuously develop the service and may add functions or change them technically, provided the contractually owed scope of services is maintained. We make changes that go beyond this towards consumers only under the conditions of § 327r BGB; the right of termination provided for there remains unaffected.

4.7 The service does not replace your own backup. We operate it with customary care. Back up important texts yourself as well; the export in your account is there for that.

5. Prices and payment

5.1 The prices shown to you during the ordering process apply. All prices are final prices including statutory VAT. The price for the paid plan is an annual amount and is due in advance for each billing period.

5.2 The payment methods shown in the ordering process are available to you, currently credit card and SEPA direct debit via our payment service provider Stripe, as well as bank transfer on invoice. Stripe's terms also apply to processing via Stripe.

5.3 For card payments and direct debit, the amount for each further billing period is collected at its start via the same payment method, as long as the contract has not ended.

5.4 For bank transfer, we activate the paid plan immediately. The invoice is payable within the period stated on it. For each further billing period, we send you the invoice in good time before it begins. If a payment is still not received after a reminder, your account continues as Free after the period stated on the invoice (clause 9.7). Your obligation to pay for the period that has already begun remains unaffected, unless you inform us that you do not wish to continue the contract.

5.5 We issue invoices electronically; you can download them in your account. By concluding the contract, you agree to electronic invoicing.

5.6 If we change the price for future billing periods, we will inform you of this in text form at least six weeks before the start of the period concerned. You can then terminate the contract up to that point in time; we will point this out separately in the notice. The price never changes for a period that has already been paid.

5.7 If you are in default of payment, the statutory provisions apply.

6. Limits of free access

6.1 Free access is limited in scope and collaboration; the limits are shown on the pricing page. We may change them for future periods.

6.2 If something exceeds a limit, for example because your account falls back from the paid plan to Free or because a limit has been lowered, it is kept: it remains readable, can be exported and played in front of the camera, and only becomes read-only. We do not delete anything because of a limit.

7. Your content

7.1 Your texts belong to you. We acquire no rights to them other than the simple (non-exclusive) right, limited to the term and purpose of the contract, to store them, process them technically (for example to save versions, extract files on import, prepare texts for the prompter) and display them to the people you grant access to.

7.2 We do not use your texts for advertising or for training artificial intelligence systems, and we do not pass them on to third parties. Excepted are the service providers used to perform the contract, which we name in the privacy policy, and the AI provider you connect yourself (clause 10).

7.3 You are responsible for the content in your account, including the content of your members and of the people who write or comment via a share link. We do not check content in advance. You warrant that you hold the necessary rights to the texts and uploaded files.

7.4 In particular, the following are not permitted: unlawful content, content that infringes the rights of third parties, malware, circumventing technical protection measures, automated mass access outside the interfaces provided for this purpose, and using the service as general file storage.

7.5 If a third party makes a claim against us because of content from your account, you indemnify us against these claims and the costs of an appropriate legal defence, insofar as you are responsible for the underlying breach of duty.

8. Members and share links

8.1 Whoever administers an account decides whom to invite and with which role. The contracting party is answerable for what members do in the account.

8.2 A share link is the access to your project: whoever has it can, depending on the permission set, control the prompter, read, edit or comment on texts. Only pass it on to the people it is intended for. You can revoke it or let it expire in your account at any time. You are responsible for passing it on and for the people you give access to in this way.

9. Term and termination

9.1 Free access runs for an indefinite period. You can end it at any time by deleting your account. We can end it with four weeks' notice in text form; until then you can export your texts.

9.2 The paid plan has an initial term of one year from the conclusion of the contract.

9.3 For businesses, the paid plan is extended by a further year each time unless it is terminated by the end of the current term.

9.4 For consumers, the paid plan is extended for an indefinite period after the initial term unless it is terminated by the end of that term. After that, you can terminate it at any time with one month's notice. We continue to charge the annual amount in advance for one year at a time (clause 5.1); if the contract ends before the end of a year that has already been paid, we refund you the portion attributable to the time after the end of the contract.

9.5 You can terminate using the cancellation button, even without logging in, in your account, or in text form to [email protected]. We confirm receipt of the termination to you by e-mail.

9.6 When the paid plan ends, your account continues as Free. Everything remains unlocked until the end of the paid period. Nothing is deleted in the process; anything exceeding the limits of free access is subject to clause 6.2.

9.7 If your account falls back to Free under clause 5.4 for lack of payment, clause 9.6 applies accordingly. If you pay subsequently, we will reactivate the paid plan for the remainder of the paid period.

9.8 If you delete your account, we note the request and carry it out after fourteen days; until then you can take it back. Deletion also ends any running paid plan. In this case we do not refund fees already paid; your right of withdrawal (clause 14) and clause 9.4 remain unaffected.

9.9 The right of both parties to terminate for good cause remains unaffected. In the event of a material breach of clause 7 or 8, we may block individual content or share links, block the account or terminate the contract extraordinarily. Beforehand, we will ask you to remedy the situation and set you a reasonable deadline, unless this cannot reasonably be expected of us in the individual case, for example in the case of obviously criminal content. If we terminate for a reason for which you are responsible, there is no entitlement to a refund of fees already paid; in all other cases of termination of the contract by us, we refund the portion attributable to the time thereafter.

10. Third-party AI

10.1 PrompterPal does not itself provide any AI. You can store your own access to a third-party AI provider ("bring your own AI"). You conclude the contract with this provider yourself, and its terms and prices apply. You bear the costs of your requests towards the provider.

10.2 We pass your request through to the provider you have chosen and show you its response. We are not responsible for its content, accuracy or availability. Only what you explicitly accept is adopted into your text; check it beforehand.

11. Defects

The statutory provisions apply. For consumers, §§ 327 et seq. BGB on contracts for digital products apply in particular, including the obligation to provide updates set out there.

12. Liability

12.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, for fraudulent concealment, within the scope of a guarantee we have assumed, and under the Produkthaftungsgesetz (Product Liability Act).

12.2 In the case of simple negligence, we are liable only for the breach of an essential contractual obligation, that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. In this case, liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded.

12.3 Otherwise, liability is excluded.

12.4 For the loss of data, we are liable under the preceding paragraphs only up to the amount that would have been incurred for restoration if you had backed up your data properly and regularly (clause 4.7).

12.5 The above limitations also apply to our legal representatives and vicarious agents.

13. Data protection

How we process personal data is set out in our privacy policy.

14. Right of withdrawal

If you are a consumer, you have a statutory right of withdrawal. You can find the details and the model withdrawal form in our information on the right of withdrawal. Businesses have no right of withdrawal.

15. Changes to these terms

15.1 A contract that has already been concluded is governed by the version of these terms that was incorporated when it was concluded.

15.2 If amended terms are to apply to an ongoing contract, we will inform you of the changes in text form at least six weeks before they take effect and ask for your consent. If you do not consent, your contract continues on the previous terms; we can then terminate it at the end of the current billing period.

16. Dispute resolution

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.

17. Final provisions

17.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer with your habitual residence in another country, the mandatory consumer protection provisions of that country remain unaffected.

17.2 If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is our place of business.

17.3 Declarations in connection with this contract must be made at least in text form. The e-mail address in your account is deemed the agreed channel of communication.
